Work Highlights
- Conducted comprehensive legal due diligence, drafted the prospectus and related documents for submission to the Securities Commission (“SC”) in connection with an initial public offering (“IPO”) for a Malaysian entity engaged in the oil palm and property development industries. The company was successfully listed on the main market of Bursa Malaysia.
- Conducted legal due diligence and provided advisory services to a Malaysian entity specialising in management services and property development for its IPO restructuring exercise.
- Conducted legal due diligence and provided strategic advice to a prominent Malaysian company engaged in the oil & gas industry for a reverse takeover of a listed company on the Main Market of Bursa Malaysia.
- Provided legal advice on a joint venture involving a Korean entity and a Malaysian entity to assemble and distribute branded motor vehicles in Malaysia through a knock-down assembly operation.
- Advised on a share swap transaction between a Luxembourg entity and an English entity pertaining to the shares of a Malaysian entity.
- Provided legal advice and drafted the necessary documentation for an asset transfer exercise involving a distressed entity in Sarawak, representing the appointed receiver and manager.
- Advised a public listed company on acquiring a 51% equity interest in a Malaysian private company, including drafting the share sale agreement, shareholders’ agreement, and subscription agreement to facilitate the transaction.
- Advised a global player in Web3/blockchain entity in relation to its registration as a Digital Asset Exchange and Recognised Market Operator with the SC.
- Provided comprehensive legal advice to a leading financial institution in Malaysia regarding its leased and owned properties throughout Sarawak, including drafting the necessary legal documentation.
